Vendor Agreement
This agreement sets the commercial, compliance, payout, identity, and platform-use terms that apply to seller-side accounts using Zedtra.
Vendor Relationship With Zedtra
This Vendor Agreement applies to vendors and other seller-store accounts that use Zedtra to list, market, sell, fulfil, or withdraw proceeds from transactions processed through the vendor marketplace flow.
It does not govern manufacturers, sourcing agents, logistics providers, dispatch operators, or other account categories that will operate under separate role-specific agreements where their payment structure, delivery obligations, or commercial rights differ from vendor operations.
Zedtra provides marketplace software, listing tools, payment routing, verification controls, trust and safety review, wallet support, and related commercial infrastructure. Zedtra is not your employee, co-owner, business partner, insurer, warehouse operator, or guarantor of every transaction unless expressly stated otherwise.
Mandatory Use Of Zedtra Payment Channels
All payments for Zedtra marketplace orders must be paid through official Zedtra payment gateway flows. Sellers must not redirect buyers to personal accounts, direct transfers, private payment links, or other off-platform methods for transactions initiated on Zedtra.
Zedtra may treat attempts to bypass official payment channels as a material breach of this agreement and may suspend orders, freeze payouts, delist content, or terminate seller access where such conduct creates fraud, payment, tax, or compliance risk.
Platform Fees, Taxes, And Government Charges
Zedtra may deduct platform service charges from eligible sales, including the current seller-side service charge of 8.5 percent of product sales where applicable. Customer-facing purchase fees may be set to zero or adjusted by Zedtra from time to time, and other lawful charges may still apply through the checkout flow where necessary.
For delivery pricing, Zedtra may show buyers an estimated delivery fee at checkout based on distance, route assumptions, zone logic, address quality, shipping method, or other pricing logic. That checkout delivery fee is a buyer-side contribution toward delivery and is intended to support fulfilment, not a guaranteed fixed dispatch invoice.
Delivery costs are ultimately between the buyer and the seller. Sellers may choose the shipping company, shipping method, and route of delivery, and the shipping company may charge the seller an amount that is higher or lower than the platform estimate paid by the buyer at checkout. Sellers may decide to cover part of delivery depending on their shipping arrangement, but where the shipping company charge exceeds the buyer-side delivery fee already paid and the seller does not absorb the difference, the buyer is responsible for paying the additional amount required to complete delivery.
If a buyer refuses or fails to pay a required delivery top-up needed to complete delivery, the seller may pause fulfilment, request cancellation, or treat the order as undeliverable according to the platform workflow. Zedtra is not liable for losses caused by inaccurate addresses, route changes, third-party shipping pricing, or a buyer's refusal to cover required delivery costs.
Additional deductions may apply where required by payment processors, banks, chargebacks, refunds, reversals, VAT, withholding rules, taxes, government levies, regulatory obligations, sanctions review, compliance requests, or other lawful charges reasonably connected to marketplace operations.
Zedtra may update fees, deductions, or charge structures from time to time, including where commercial conditions, processor terms, legal obligations, or fraud-control needs change.
Payout Hold, Wallet Reflection, And Withdrawal Timing
Seller proceeds may be held after order payment and after delivery while Zedtra completes delivery review, fraud checks, refund windows, dispute checks, compliance screening, or other trust and safety controls. Funds do not become withdrawable merely because an order was paid or shipped.
Where no active dispute, refund, fraud concern, or legal hold exists, eligible funds may later reflect in the seller wallet according to Zedtra's withdrawal schedule and wallet rules. Zedtra may extend holds where there is a refund claim, chargeback risk, suspicious activity, account review, regulator request, tax concern, or lawful investigation.
Seller wallets are operational payout tools and not savings accounts. Sellers should not keep large balances in the wallet for long periods, and Zedtra may require timely withdrawal or impose additional controls where wallet behavior appears inconsistent with ordinary marketplace use.
KYC, Business Identity, And Bank Matching
Sellers must provide truthful and complete business information, business documents, legal identity records, KYC data, bank details, and any other information reasonably requested by Zedtra for identity review, tax support, payout review, fraud prevention, or legal compliance.
The bank account submitted for wallet withdrawals must match the legal business name shown in the seller's business documents and the store or business profile on Zedtra. Bank accounts using unrelated personal names or inconsistent business names may be rejected, paused, or permanently declined.
If submitted documents, names, selfies, business profiles, or account behavior appear false, duplicated, stolen, manipulated, or inconsistent, Zedtra may suspend the account, freeze withdrawals, preserve records, and cooperate with lawful investigations or the apparently legitimate business owner.
Store Identity, Logos, Content, And IP
Sellers must not use another business's logo, trade name, registration records, documents, media, designs, branding, or copyrighted listing content without lawful rights or authorization. No vendor should operate a fake account using another vendor's identity or protected materials.
Where Zedtra reasonably concludes that one account copied or impersonated another legitimate business, Zedtra may preserve all submitted records, support the apparently legitimate business account with lawfully disclosable evidence, suspend the suspected infringing account, and take any other action reasonably necessary to protect the platform and the legitimate business.
Zedtra may remove or restrict listings or accounts involved in IP infringement, identity theft, counterfeit representation, fraudulent substitution, or unauthorized reuse of other vendor content.
Seller Responsibility For Products And Conduct
Each seller remains solely responsible for the legality, safety, quality, intellectual property status, tax treatment, packaging, shipping promises, product claims, and fulfilment conduct relating to their goods or services.
Zedtra does not assume liability for unlawful, defective, counterfeit, misleading, infringing, or prohibited goods submitted by a seller, nor for seller misbehavior outside the direct control of the platform. Sellers may bear full responsibility for losses, legal claims, or enforcement consequences arising from their own conduct.
Credential Security And Internal Access
Sellers must keep login credentials, OTPs, wallet access, staff permissions, and device access confidential and secure. Sharing credentials carelessly with third parties, contractors, or unauthorized staff may lead to account compromise, withdrawal restrictions, or suspension.
Zedtra may treat losses caused by careless credential sharing or poor internal access control as the seller's responsibility, and may require renewed KYC or administrative review before restoring wallet or listing access.
Privacy, Data Processing, And Lawful Disclosure
By using Zedtra as a seller-side account, you acknowledge that Zedtra may collect and process emails, business documents, bank details, identity records, KYC data, account activity, payout history, moderation history, and other operational records for marketplace administration, fraud prevention, verification, disputes, payment compliance, tax support, and lawful reporting.
Zedtra may share relevant seller data with payment processors, banks, verification providers, auditors, legal advisers, regulators, tax authorities, courts, law enforcement, or other lawful authorities where reasonably required for tax monitoring, anti-fraud review, sanctions screening, illegal activity investigations, court orders, legal claims, or other valid regulatory or governmental requests.
Zedtra Technology, Platform Rights, And Developer Protection
Zedtra retains all rights in its platform software, workflows, business logic, branded interfaces, moderation systems, payout controls, verification flows, legal structures, data models, and related proprietary marketplace tools except to the limited extent expressly granted for ordinary use of the service.
Sellers must not copy, reverse engineer, republish, clone, commercially exploit, or misuse Zedtra platform work, developer work, legal structures, or protected internal processes outside the normal intended use of the marketplace. Unauthorized reuse or exploitation of Zedtra platform work may result in suspension, legal action, or other enforcement remedies.
Suspension, Record Preservation, And Legal Protection
Zedtra may suspend accounts, restrict withdrawals, preserve evidence, remove listings, refuse withdrawals, deny verification, or terminate marketplace access where there is fake identity risk, IP infringement, fraud risk, refund abuse, regulatory concern, tax concern, sanctions concern, payment-processor concern, or a reasonable need to protect buyers, legitimate sellers, staff, developers, or the platform itself.
To the maximum extent permitted by law, sellers agree to indemnify and hold harmless Zedtra, its owner, developers, employees, contractors, moderators, reviewers, and representatives against losses, claims, liabilities, taxes, chargebacks, penalties, legal expenses, or other costs arising from seller misconduct, false submissions, counterfeit goods, IP infringement, unauthorized reuse of protected materials, unlawful trade, tax failures, or breach of this agreement.
